2. Intellectual Property Rights
Unless otherwise stated in a specific signed contract:
• Our Property: All code, graphics, and designs created by Synthoweb prior to or outside of a specific client project remain the property of SIJUGROUP.
• Client Property: Upon full payment, the specific custom code and final website assets developed for a client will be transferred to the client, subject to any third-party licenses (e.g., open-source libraries).
3. Payment Terms
• Deposits: A non-refundable deposit (typically 50%) is required before project commencement.
• Final Payment: The remaining balance must be paid before the final website or source code is deployed to the live server.
• Late Fees: We reserve the right to pause development or charge a late fee if payments are not made within the agreed-upon timeframe.
4. Client Responsibilities
The client is responsible for providing all necessary content (text, images, branding) and access to required hosting/servers. Synthoweb is not liable for delays caused by the client’s failure to provide these materials.
5. Limitation of Liability
In no event shall Synthoweb (SIJUGROUP), nor any of its developers, be held liable for anything arising out of or in any way connected with your use of our services. We are not responsible for:
• Third-party server outages or hosting failures.
• Data loss due to client mismanagement.
• Security breaches on platforms not maintained by us.
6. Termination of Services
We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.
7. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Nigeria, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Nigeria for the resolution of any disputes.
